Ultipa Certification Program Agreement

1. The Ultipa Certification Program

1.1 Participation Requirements

To participate in the Program, you must comply with all requirements applicable to the Program, including those set forth in this Agreement.

1.2 Valid Certification

To obtain an Ultipa Certification, you must take the applicable Certification Test and achieve a passing score. The validity period of each Ultipa Certification is specified on the Ultipa Certification Site and begins on the date you successfully pass the applicable Certification Test.

1.3 Ultipa Certification Account

Your Ultipa account is used to participate in the Ultipa Certification Program. You agree to:

• maintain the confidentiality of your Ultipa account and login credentials;
• not allow any other individual to access your Ultipa account or use any Ultipa Certification benefits for any reason, including registering for a Certification Test on your behalf; and
• ensure that all Ultipa Certification account information is accurate and current, including, without limitation, an email address that you regularly monitor and that can receive correspondence from the @ultipa.com domain.

1.4 Cancellation and Rescheduling

You are required to take the applicable Certification Test within the period specified on the Ultipa Certification Site following successful payment and registration. Rescheduling is not permitted.

Cancellation requests are accepted only within seven (7) days of registration for the applicable Certification Test. A 10% processing fee will be deducted from the payment. To cancel your Certification Test, you must submit a request to [email protected]. Any applicable refund will be processed accordingly.

Once you begin taking a Certification Test, cancellation is no longer permitted.

1.5 Your Responsibilities

When representing yourself as an Ultipa Certification holder or participating in the Ultipa Certification Program (including registration, testing, scoring, and reporting activities), you agree to:

• conduct all activities in a professional manner;
• not imply any relationship or affiliation between yourself and Ultipa except as expressly permitted under this Agreement; and
• promptly report any Unauthorized Content Disclosures, including any Certification Test or Testing Materials you have accessed, to [email protected].

1.6 Use of Name and Logo

If you obtain an Ultipa Certification, Ultipa grants you a limited, non-transferable right to use the name of the specific Ultipa Certification you earned and the associated Ultipa Marks, which will be made available through your Ultipa account or a designated third-party digital badge provider. You may use the Ultipa Marks solely to indicate your valid certification status.

Ultipa may revoke your right to use any Ultipa Marks associated with the Certification at any time by providing written notice.

2. Testing

2.1 Testing Rules

You must comply with all rules and regulations governing the registration, administration, scoring, and reporting of Certification Tests, including fully and truthfully cooperating with any investigation into testing irregularities. You agree not to:

• receive or provide unauthorized assistance, or submit work that is not your own;
• possess, access, or use unauthorized materials, including Unauthorized Content Disclosures of any Certification Test or Testing Materials;
• falsify your identity or misuse any identification documents, testing identification numbers, usernames, or credentials;
• allow another individual to take a Certification Test under your identity;
• claim test results that you did not validly obtain;
• disclose, distribute, or disseminate the content of any Certification Test or Testing Materials;
• consume alcohol, smoke, or be under the influence of drugs during a Certification Test;
• engage in disruptive, abusive, threatening, or destructive behavior during a Certification Test;
• use or operate any hardware or software during the Test Session that could violate Certification Requirements, including but not limited to additional monitors, peripherals, virtual machines, or remote desktop, screen-sharing, image capture, or communication software; or
• take an Online Test Delivery Certification Test in a test center or training center.

2.2 Retakes

If you do not pass a Certification Test, you may retake it only in accordance with the retake policy published on the Ultipa Certification Site and any additional policies communicated to you in writing by Ultipa.

2.3 Confidentiality

All Testing Materials, including Certification Tests, constitute Ultipa Confidential Information. Ultipa retains all right, title, and interest in such Confidential Information, including all intellectual property rights. You may not use, disclose, reproduce, copy, transmit, distribute, or create derivative works from Ultipa Confidential Information in any form.

2.4 Benefits

If you hold one or more active Ultipa Certifications, you may be eligible for additional benefits as described on the Ultipa Certification Site. All benefits, including discounted test vouchers, are non-transferable and may be used only by the individual to whom they were issued.

If Ultipa determines, in its sole discretion, that a benefit has been misused, transferred, or accessed improperly, Ultipa may invalidate the associated Certification Test results. No benefits will be reinstated, and no refunds or compensation will be provided.

2.5 Account Information

Ultipa will process your Account Information and personal information in accordance with the Ultipa Privacy Policy. You consent to the use of your personal information to prevent and detect fraud or abuse and to protect the security and integrity of the Certification Program.

2.6 Sharing with Coordinators

If a Coordinator arranges your participation in the Program, Ultipa may share Certification Data with the Coordinator to confirm delivery of Certifications, identify additional relevant Certifications, and as otherwise permitted by the Ultipa Privacy Policy.

2.7 Noncompliance

If Ultipa or a Certification Test Provider determines that you have violated this Agreement at any time, Ultipa may take actions including, but not limited to, terminating your Test Session, canceling test results, requiring retesting, restricting test delivery methods, terminating your rights under this Agreement, or prohibiting future participation in the Program. No testing fees will be refunded in such cases.

2.8 Data Forensics and Statistical Analyses

Ultipa conducts regular data forensics and statistical analyses of Certification Tests. If anomalies or suspicious activity are detected, Ultipa may take any action described in Section 2.7. No refunds or compensation will be provided.

To protect detection mechanisms, Ultipa may not disclose specific forensic or analytical details. If your Certification Test results are invalidated on this basis, you may not take another Online Test Delivery Certification Test without prior written approval from the Ultipa Certification team.

3. Term and Termination

3.1 Term

This Agreement becomes effective when you select "I agree with Ultipa Certification Program Agreement," schedule a Certification Test, or sit for a Certification Test, and remains in effect until your access to the Program is terminated or you no longer hold a valid Ultipa Certification.

3.2 Effect of Termination

Upon termination, all Ultipa Certifications held by you become invalid, and you must cease using Ultipa Marks or claiming certification status. Obligations related to confidentiality and cooperation with investigations survive termination.

4. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ULTIPA NOR ITS AFFILIATES, LICENSORS, OR CERTIFICATION TEST PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM:

• YOUR FAILURE TO OBTAIN CERTIFICATION OR PARTICIPATE IN THE PROGRAM, INCLUDING TERMINATION, SUSPENSION, OR DISCONTINUATION OF THE PROGRAM; OR
• ANY INVESTMENTS OR COMMITMENTS MADE BY YOU IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM.
